    A membership may not be shared among:
  • Multiple classroom teachers
  • Grade-level teams
  • Schools
  • School districts
  • Departments
  • Universities
  • Organizations
  • Families outside the purchasing household
    If additional educators require access, separate memberships or an approved multi-user or district license
    must be purchased.
  1. Classroom Use
    Subject to your membership level and these Terms, you may use downloaded resources:
  • In your own classroom.
  • With students you directly teach.
  • During small-group instruction.
  • During intervention services.
  • During virtual instruction with your own students.
  • In your homeschool.
  • During tutoring sessions conducted directly by you.
    You may print reasonable quantities necessary for your own instructional use.

    Unless expressly authorized in writing by The Moffatt Girls, Inc., you may not:

  1. School, District & Organizational Use
    Memberships purchased for an individual educator may not be used as a school-wide or district-wide license.
    Schools or districts wishing to provide access for multiple educators should contact The Moffatt Girls, Inc.
    regarding appropriate licensing options.
    Nothing in these Terms grants institution-wide access unless expressly agreed to in writing.
    The User Is responsible to assure that the use of TMG content is approved by all applicable Districts, Schools Boards,
    local School administrations or other governing organizations and individuals with violations being subject to the
    indemnity provisions of Section 50 hereunder.
  1. Download Rights
    During an active membership, eligible members may download available resources included with their
    membership plan.
    Downloads are provided solely for the licensed member’s personal educational use.
    Downloading a resource does not transfer ownership of the resource or any intellectual property rights.
    After a membership expires or is canceled, continued use of previously downloaded materials remains
    subject to the license in effect at the time of download and any applicable membership terms, but access to
    the membership platform, updates, exclusive content, and member-only resources will end unless otherwise
    stated.
  2. Download Monitoring
    To protect our copyrighted materials and maintain the integrity of the membership, we may monitor
    download activity, login activity, and account usage. Monitoring may include:

  • Circumvent licensing restrictions through shared credentials.
    If unauthorized sharing is detected, we reserve the right to suspend or terminate access without refund,
    subject to applicable law.

    TMG is not responsible for the content or search results of any Third-Party AI tool not expressly
    authorized for use by TMG.

  1. Educational Content Disclaimer
    The resources provided through the Services are designed to support educational instruction.
    Educational standards, curriculum requirements, school policies, and instructional practices vary by state,
    district, school, and educational setting.
    It is your responsibility to determine whether a particular resource is appropriate for your students,
    curriculum, classroom, or educational program.
    The User Is responsible to assure that the use of TMG content is approved by all applicable Districts, Schools Boards,
    local School administrations or other governing organizations and individuals with violations being subject to the
    indemnity provisions of Section 50 hereunder.
    The Moffatt Girls, Inc. does not guarantee alignment with every educational standard, curriculum,
    assessment, or instructional requirement.
  1. Limitation of Liability
    TO THE FULLEST EXTENT PERMITTED BY LAW, THE MOFFATT GIRLS, INC., ITS OWNERS, OFFICERS,
    DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY
    INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM
    OR RELATED TO THE SERVICES.
    THIS INCLUDES, WITHOUT LIMITATION:
  • Lost profits
  • Lost revenue
  • Lost business opportunities
  • Lost data
  • Loss of goodwill
  • Business interruption
  • Computer damage
  • Service interruptions
    To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms
    or the Services shall not exceed the total amount paid by you to The Moffatt Girls, Inc. during the twelve (12)
    months immediately preceding the event giving rise to the claim.
    Nothing in these Terms excludes liability that cannot be excluded under applicable law.

50. Indemnification
You agree to defend, indemnify, and hold harmless The Moffatt Girls, Inc., its officers, directors,
employees, contractors, licensors, affiliates, successors, and assigns from and against any claims,
damages, liabilities, losses, costs, expenses, including cost of defense and or reasonable attorneys’ fees
arising out of any claim of loss or related to:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your infringement of another person’s rights.
  • Your misuse or redistribution of our Content.
  • Your unlawful conduct.
    This obligation survives termination of your membership.
  1. Force Majeure
    The Moffatt Girls, Inc. shall not be liable for any delay or failure to perform resulting from events
    beyond our reasonable control, including but not limited to: • Natural disasters
  • Fire
  • Flood
  • Severe weather
  • Pandemic
  • Government action
  • Internet outages
  • Power failures
  • Cybersecurity incidents
  • Labor disputes
  • Failures of third-party service providers
    Our obligations will resume once the event has ended and performance is reasonably possible.
  1. Governing Law
    These Terms shall be governed by and construed in accordance with the laws of the State of California with
    Jurisdiction in the County of Orange without regard to conflict of law principles.
  1. Dispute Resolution
    Before initiating legal action, we encourage you to contact us so that we may attempt to resolve any concern
    informally.
    In the event that a dispute cannot be resolved informally, the parties shall submit their dispute to AAA
    mediation under AAA commercial rules with the selection of a single Neutral. The parties shall share costs of
    such mediation subject to reallocation at the discretion of the neutral.
    If a dispute cannot be resolved informally or by Mediation, it shall be resolved in accordance with applicable
    law and the jurisdiction specified in these Terms.
    Nothing in this section limits any rights that cannot legally be waived under applicable law.
  1. Injunctive Relief
    You acknowledge that unauthorized use, reproduction, distribution, disclosure, or infringement of our
    intellectual property may cause irreparable harm for which monetary damages alone may not be an
    adequate remedy.
    Accordingly, The Moffatt Girls, Inc. shall be entitled to seek injunctive or equitable relief, in addition to any
    other remedies available at law or in equity, to protect its intellectual property and proprietary rights.
  1. Assignment
    You may not assign, transfer, sublicense, or otherwise transfer your rights or obligations under these Terms
    without our prior written consent.
    The Moffatt Girls, Inc. may assign or transfer these Terms in connection with a merger, acquisition, sale of
    assets, corporate reorganization, or other business transaction.
  1. Severability
    If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions
    shall remain in full force and effect.
    The invalid provision shall be interpreted or modified only to the extent necessary to make it enforceable
    while preserving its original intent whenever possible.
  1. Waiver
    Failure by The Moffatt Girls, Inc. to enforce any provision of these Terms shall not constitute a waiver of that
    provision or any other provision.
    Any waiver must be in writing and signed by an authorized representative of the Company.
  1. Entire Agreement
    These Terms, together with our Privacy Policy, Refund Policy, Copyright Policy, Cookie Policy (if applicable),
    and any additional policies expressly incorporated by reference, constitute the entire agreement between
    you and The Moffatt Girls, Inc. regarding your use of the Services.
    These documents supersede all prior or contemporaneous communications, representations,
    understandings, and agreements relating to the Services.
    If any term of Policy shall be ambiguous or subject to various interpretation, the terms of these Membership
    Terms of Service shall prevail.
  1. Changes to These Terms
    We may update these Terms from time to time to reflect changes in our Services, legal obligations,
    technology, or business practices.
    When material changes are made, we will update the “Last Updated” date at the beginning of these Terms
    and, where required by law, provide additional notice.
    Your continued use of the Services after revised Terms become effective constitutes acceptance of the
    updated Terms.
